01Acceptance of terms

By accessing or using solomonkatsman.com (the "site"), you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the site. These Terms apply to all visitors, whether or not you ever contact the practice.

02What this website is

The site is operated by Solomon Katsman, a wealth strategist based in the San Francisco Bay Area. The site exists to describe the practice and the kinds of clients it serves: founder-operators, real-estate owners, and exit-bound founders interested in advanced retirement and tax-mitigation strategy. The practice operates with the actuarial, third-party administrator, and compliance infrastructure of Alpha Innovation Partners.

03No investment, tax, or legal advice

The content of this site is general educational and marketing material. It is not, and is not intended to be, personalized investment advice, tax advice, legal advice, accounting advice, or actuarial advice. Reading this site does not make you a client. Watching a video, downloading a brochure, reading a quarterly article, or browsing any page does not create a duty of care.

Tax laws, retirement-plan rules, and investment products are complex and depend on facts specific to you, your business, your jurisdiction, and your timing. Decisions about a Defined Benefit plan, a 401(k), an executive bonus arrangement, a structured installment sale, a Charitable Remainder Trust, or any other strategy described on this site should be made only after you have spoken with qualified professionals about your particular situation.

04No advisor-client relationship

Using this site, contacting the practice, requesting an introduction, or attending a complimentary consultation does not by itself create an advisor-client, attorney-client, accountant-client, or fiduciary relationship. A formal relationship only begins after both you and Solomon Katsman have signed a written engagement, advisory, or consulting agreement that describes the scope of work and the responsibilities of each side.

05Illustrative figures and case studies

The site contains illustrative figures - contribution ceilings, tax-savings estimates, sheltered-projection calculations, sample case studies, and ratios. These figures are provided to demonstrate the general scale of what an advanced retirement-plan design can produce. They are not promises, predictions, or guarantees of any specific result.

Actual outcomes depend on plan design, your income and entity structure, your employee census, your retirement target, market performance, tax-law changes, and many other factors. Past results do not guarantee future results. Case studies are anonymized and have been altered to protect confidentiality; the people and figures shown are composites or representative examples, not specific clients.

06Intellectual property

All content on the site - including text, graphics, illustrations, the brand mark and wordmark, the typography choices, and the design - is owned by Solomon Katsman or licensed to the practice, and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may view, save, and print pages for your personal, non-commercial review. You may share links to the site. You may not copy, republish, distribute, modify, or sell any content from the site without prior written permission. Quoting brief excerpts for legitimate journalistic, academic, or non-commercial commentary is permitted with attribution.

07Acceptable use

You agree not to:

• Use automated tools to scrape, harvest, or extract content at scale;
• Attempt to gain unauthorized access to any part of the site, server, or related infrastructure;
• Use the site to transmit malicious code or to interfere with its operation;
• Impersonate Solomon Katsman, Alpha Innovation Partners, or any client or employee;
• Use any content from the site to mislead, defraud, or harass anyone.

08Third-party links and services

The site links to third-party services, most notably Google Calendar for booking introductions. We do not control these services and we are not responsible for their content, availability, privacy practices, or terms of service. When you click an external link, you leave the site and become subject to the third party's terms and privacy policy.

09Limitation of liability

To the maximum extent permitted by law:

• The site is provided "as is" and "as available," without warranties of any kind, express or implied.
• Solomon Katsman is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the site, including lost profits, lost data, business interruption, or reliance on illustrative figures.
• Our maximum aggregate liability arising from your use of the site is limited to one hundred U.S. dollars (USD $100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability is limited to the smallest amount the law allows.

10Indemnification

You agree to defend, indemnify, and hold harmless Solomon Katsman and his agents, contractors, and affiliates from any claim, loss, expense, or damages (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the site.

11Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or your use of the site will be resolved exclusively in the state or federal courts located in San Francisco or Alameda County, California, and you consent to the personal jurisdiction of those courts.

Both parties waive any right to a jury trial in any dispute arising from these Terms. Both parties also agree that any claim must be brought within one year after the cause of action arises, or it is permanently barred.

12Changes to these terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Material changes will be flagged on the homepage for at least 30 days after they take effect. Continued use of the site after the effective date constitutes acceptance of the revised Terms.
